Samsung SDI Holds 53th Annual General Meeting of Shareholders   □ Approves all five agendas including approval of financial statements and appointment of directors □ President and CEO YOONHO CHOI says, “Together, we will take a big step to accelerate the journey of becoming a global Top Tier company”  SEOUL, Korea – March 15, 2023 – Samsung SDI today announced it held the 53th Annual General Meeting of Shareholders in Seoul. Attendees included individual shareholders, institutional investors, Young-hyun Jun, vice chairman of Samsung SDI, and YOONHO CHOI, president and CEO of Samsung SDI along with key management staff.    Five agendas for resolution–approval of financial statements, appointment of directors, appointment of Audit Committee members, appointment of independent director for Audit Committee member, and approval of director remuneration limit–were proposed and approved.  In the Agenda 1 Approval of Financial Statements FY2022, approval was granted to the following statements: financial position, comprehensive income, changes in equity, etc. The Annual General Meeting decided on the dividends to be paid out at KRW 1,030 per common share and KRW 1,080 per preferred share. The Agenda 2 Appointment of Directors was approved to re-appoint Samsung SDI Vice Chairman Young-hyun Jun as an executive director, Oh-Kyong Kwon and Duk-hyun Kim as independent directors, while appointing Mi-kyung Lee, the representative of Korea Green Fund, to replace the incumbent independent director Tae-ju Park.  Newly appointed independent director Mi-kyung Lee is an expert in environment with a long streak of being engaged in environmental policy, as she served as a member of the Central Environmental Policy Committee, the Carbon Neutrality Committee, and Hydrogen Economy Committee of the Ministry of Environment. Her presence in Samsung SDI’s Board of Directors is anticipated to add more expertise and diversity to the company’s environmental, social, and governance (ESG) policy. With this appointment, Samsung SDI’s gender representation on independent directors is now 50%, up from 25% and increasing its gender diversity, in line with the company’s heightened ESG drive.  Following this Annual General Meeting, the number of the company’s Board members remains unchanged: a total of seven, including three executive directors and four independent directors.  As the shareholders voted for Agenda 3 Appointment of Audit Committee Members, Oh-kyong Kwon and Mi-kyung Lee were appointed to members of the Audit Committee. The Audit Committee now consists of three members, down from four members, effectively leaving the Committee free of difficulty arising from a tie-vote.   Upon shareholders’ approval of the Agenda 4 Appointment of Independent Director Woon-wook Choi for Audit Committee Member, the independent director Choi was re-appointed. Recognized for his expertise in finance and accounting, he has been serving as the chairman of the Audit Committee for the last three years, making substantial contribution to securing the company’s financial soundness and transparency, and is expected to continue his endeavors for Samsung SDI’s growth.   Lastly, approved by the 53th Annual General Meeting of Shareholders, the Agenda 5 Approval of Director Remuneration Limit decided the total remuneration limit to be KRW 12 billion. The company noted, “Last year, a total of KRW 6.3 billion was remunerated from KRW 16.5 billion of Director Remuneration Limit FY2022. This year, the total remuneration limit was presented with due adjustment to be in accord with the FY2023 budget.” “Despite the extreme volatility of business environment, Samsung SDI produced unprecedented success in the business results thanks to cooperation and collaboration of everyone at Samsung SDI and our partners, and keen interest afforded by the shareholders,” said Samsung SDI President and CEO YOONHO CHOI in his remarks. He further reiterated, “Shadows of business uncertainty is here to stay in 2023 as well.    Nevertheless, all members of Samsung SDI vow to take a big step together to accelerate the journey of becoming a global Top Tier company under key management strategies of ‘super-gap technological competitiveness,’ ‘best quality,’ and ‘profitable and qualitative growth.’  For those shareholders who cannot be present at the AGM physically, Samsung SDI has implemented measures such as electronic voting and virtual streaming of the Meeting since 2021. Also, in tandem with its management focus on the ESG aspects, not only all mails are sent electronically but the dividend details can also be looked up via the company website and mobile platform.

Samsung SDI Participates in InterBattery 2023 to ShowcaseDifferentiating Battery Technology with Super-Gap Edge   □ Unveils its differentiating technologies with Super-Gap edge such as all solid-state battery, innovative structural design, high-efficiency fast-charging as well as BoT applications□ Displays BMW i7 and Volvo FM Electric, first time to be featured at Samsung SDI’s booth   SEOUL, Korea – March 15, 2023 – Samsung SDI today announced its participation in InterBattery 2023 held in Seoul from March 15 to 17. The company is going to unveil the key line-up of Battery of Things (BoTs) applications featured by its own battery brand PRiMX and showcase differentiating battery technology with Super-Gap edge.    At the center of the booth sit ESG Zone and Core Technology Zone and the surrounding sections will display prismatic, cylindrical, pouch, and button batteries along with their respective applications including electric vehicles, IT and wearable devices, power tools, and ESS.  The booth occupied by Samsung SDI will have a large display to visually enumerate the company’s battery technology prowess and history, engaging the audience at the biggest battery fair in Korea.  In Core Technology Zone, visitors can get a peek at Samsung SDI’s differentiating technological advantage with the displays of all solid-state battery, innovative structural design, highly efficient fast-charging, safety technology, etc.  All solid-state batteries presented by Samsung SDI stand out in its anode-less technique with better battery life achieved by lithium anode solid electrolyte configuration. The company is expecting to complete the construction of the one and only solid-state battery pilot line in South Korea, in which sample production will commence in the second half of this year, including a range of tests to raise the completeness of the solid-state battery development.  Visitors dropping by Samsung SDI’s ESS Zone will have a chance to see the company’s new E5S modules and racks equipped with direct injection system and water cooling system for the ultimate safety. IT Zone and Power Zone will have various applications ranging from smartphones, wearable devices, AI robots, to power tools.  What’s going to attract everyone’s attention to Samsung SDI’s booth this year will be xEV Zone, with displays of BMW i7 2023 and Volvo FM Electric.  The New i7 is the first flagship fully-electric sedan by BMW built with Samsung SDI’s P5 prismatic batteries, which have high energy density by using high-nickel cathode with over 88% nickel and silicon anode. In addition to the New i7, these high-performance batteries by Samsung SDI power BMW’s other EVs such as iX and i4. Samsung SDI’s booth will also have on display Volvo FM Electric, which is the first-ever large-sized, electric truck to be showcased in Asia. This fully electric heavy truck model uses approximately 28,000 units of 21700 cylindrical batteries. Samsung SDI applied high-nickel cathode over 91% and successfully implemented high outputs and high-energy density required for heavy duty commercial trucks. The company plans to run a variety of promotional events, one of which offers test-driving opportunities for visitors.  Volvo is also participating in EV Trend Korea, an eco-friendly mobility exhibition held along with InterBattery 2023, to showcase its heavy truck range, FH Electric. “Samsung SDI strives to provide battery solutions that materialize sustainable future for everyone,” said Michael Son, the executive vice president and leader of Automotive & ESS Battery Business Strategic Marketing Office, and added, “Those coming to InterBattery 2023 will see what Samsung SDI holds for the battery industry – differentiating technological edge.” On the first day of the fair, Joo-young Go, the executive vice president and leader of Automotive & ESS Battery Business Marketing Team, is poised to attend a session titled “The Battery Conference 2023” to lay out Samsung SDI’s differentiating solid-state battery technology under the theme of “Super-Gap Technology for Beyond LIB.”

Fellowship of Future: Samsung SDI Hosts Supplier DaySigns a voluntary agreement for resolving imbalance between large and small companies  □ Company to run a dedicated program for mutual growth, allocating KRW 155.2 billion□ Chief of Korea Commission for Corporate Partnership remark "Samsung SDI is a global leader in business who has been  consistent in delivering its commitment to continued growth with its suppliers."□ "We will further strengthen our cooperation with the suppliers and provide good support for a future where we grow together," says President and CEO YOONHO CHOINov. 15, 2022 - Samsung SDI today announced that the company held a special supplier event titled "Shared Growth Day" in Ramada Plaza Suwon, bringing together its suppliers to share the innovations they have made thus far and to honor the top performing suppliers. The attendees of the event included YOONHO CHOI, the president and CEO of Samsung SDI, Young-gyo Oh, the chairman of Korea Commission for Corporate Partnership, and CEOs of the suppliers, totaling 210 people joining physically and virtually. Samsung SDI began this annual Shared Growth Day in 2009 to share the successful innovations achieved with its suppleirs and promote steady and mutual growth. The focus of the company's extensive support measures offered for the suppliers has been the betterment of all aspects of their business management, ranging from quality performance, staffing to sales revenue. In 2010, Samsung SDI launched a supplier support program,'Shared Growth with Manufacturing Innovation.' Under this scheme, ten suppliers are selected every year to benefit from Samsung SDI's expertise in improving productivity and quality performance, by means of specialist support, funding, etc.   At the event held on Nov 15, Samsung SDI and its suppliers, along with Commission for Corporate Partnership, signed Voluntary Agreement on Reducing Polairization of Growth. This trilateral agreement works as a driver for the involved parties to actively participate in boosting technological edge of small-to-medium companies as well as resolving polarizing distribution of growth between big companies and small companies.  Over the next three years, Samsung SDI plans to spend about KRW 155.2 billion on operating a program for shared growth and win-win cooperation with suppliers. Back in 2019, the company signed another agreement dubbed as Innovation-Led Resolution for Wage Polarization, a commitment to tackle issues of polarizing wages between large and small enterprises and promote shared growth among them. Yeong-gyo Oh, the chairman of Commission for Corporate Partnership, commented "Samsung SDI is a global leader in business who has been sincerely consistent in delivering its vision of shared growth based on win-win cooperation," and continued to say, "I would like to convey my deepest gratitude to the CEO and employees of Samsung SDI for joining another agreement since 2019. I hope this honorable event plays a crucial role in bolstering competitiveness of both the suppliers and the industry, while disseminating a culture of shared growth across the business society." "The fiercely competitive market we are facing calls for much stronger competitive edge in all aspects of manufacturing, which should be built on the principle of quality and safety, and that will be how both Samsung SDI and suppliers grow together," noted President and CEO YOONHO CHOI. By the same token, Samsung SDI will further strengthen our cooperation with the suppliers and provide good support for a future where we grow together," reiterated the CEO.  For Samsung SDI, ESG management system has become a key strategy that determines a company's future competitiveness, extending its scope of corporate social responsibility.
